Sheet 1, the basics
These Terms are a binding agreement between you and me, Dale Mooney, trading as Due Badger. By creating an account or using Due Badger you agree to them. I have kept the language plain, but this is still a legal agreement.
You must be at least 18 and able to enter a binding contract. If you use Due Badger for a business, you confirm you are authorised to accept these Terms on its behalf. One person or business per account.
Due Badger provides a compliance register through a web app and an MCP interface for AI agents. I provide it on an "as is" and "as available" basis. I may add, change, suspend or remove features, or the service itself, at any time. Where a significant change is within my control I will give reasonable notice. Some features may be labelled early access and may change or be withdrawn.
Keep your login details secure and give accurate information. You are responsible for everything that happens under your account, including activity by any AI agents or MCP clients you connect to it. Tell me promptly at dalemooney50@gmail.com if you suspect unauthorised access. To the extent the law allows, I am not liable for loss arising from your failure to keep your credentials secure.
You agree to use Due Badger lawfully and as intended. You must not: use it to misrepresent your compliance position; break any law or infringe anyone's rights; upload malicious or harmful content; attempt to gain unauthorised access to, disrupt, overload, reverse engineer or probe the service; access it by automated means except through the interfaces I provide; or resell or white-label it without my written permission. I may investigate suspected breaches and take action, including removing content and suspending accounts.
You own the obligation, owner and note data you enter. You grant me the permission needed to host, process and display it to run the service for you. You are responsible for the accuracy of your content, including whether a due date or an owner is correct. I handle personal data as set out in my Privacy Policy and Data Processing Agreement.
Sheet 2, the rest
Due Badger tracks your compliance dates; it is not your official system of record. You are responsible for checking every obligation and for keeping your own copies of anything you need for audit or legal purposes.
Due Badger is software, not a lawyer or a compliance officer, and nothing it produces is legal or compliance advice. You remain responsible for your own compliance obligations.
Due Badger relies on third parties, including Cloudflare for hosting and Resend for email, and any AI or MCP client you choose to connect. Their own terms govern their part. Current providers are listed on my Sub-processors page.
Due Badger is free while it is in early access, with no card required. See pricing for what may change later. If I introduce a paid plan, I will give existing accounts reasonable notice before charging them.
I aim for high availability but do not guarantee the service will be uninterrupted or error free, and I may carry out maintenance. I am not liable for downtime outside my reasonable control.
To the fullest extent the law allows, I exclude all implied warranties, terms and conditions, including satisfactory quality and fitness for a particular purpose. This does not affect the statutory rights you have as a consumer.
Nothing in these Terms limits or excludes liability that cannot be limited by law, including for death or personal injury caused by my negligence, or for fraud. Subject to that: I am not liable for indirect or consequential loss, or for loss of profits, revenue or data; my total liability to you for all claims in any 12 month period is limited to the greater of the fees you paid me in the 12 months before the claim, or £50.
You agree to cover my reasonable losses, damages and costs arising from a third-party claim that results from your content, your use of Due Badger, or your breach of these Terms or the law. This does not apply to the extent the claim is caused by my own breach or negligence.
You can stop using Due Badger and close your account at any time. I may suspend or close your account if you breach these Terms, or where I reasonably need to for legal, security or safety reasons, giving notice where practical.
I may update these Terms from time to time. If a change is significant I will take reasonable steps to let you know. Continuing to use Due Badger after a change means you accept the updated Terms.
These Terms, together with my Privacy Policy, are the entire agreement between us. If any part is found unenforceable, the rest continues to apply. You may not transfer your rights under these Terms without my consent.
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer, this does not affect statutory rights that cannot be excluded by law.
